1. Acceptance of Terms
By accessing and using the Credia platform, you agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these terms, you may not use our service. We may modify these Terms of Service to reflect changes in our practices, applicable law, or technical improvements. Modifications affecting data processing (Sections 7, 8, 12) or payment terms require 30 days' written notice by email. Other non-material modifications require 14 days' notice by email or platform notification. You may terminate your account without penalty within 14 days of receiving notice of material changes. Your continued use after the notice period constitutes acceptance of the modified terms.
2. Service Description
Credia is an AI-powered SaaS platform that helps Belgian SMEs analyse, extract data from, and benchmark loan term sheets. Our service uses artificial intelligence to: (1) Extract standardized data fields from your loan documents, (2) Provide comparative benchmarking against anonymized market data, (3) Generate scoring and recommendations based on loan characteristics, and (4) Deliver detailed reports and analysis. Credia is designed for authorized company representatives and loan decision-makers. The service is informational and advisory in nature; it does not constitute financial, legal, or investment advice.
3. Account Registration and Security
To use Credia, you must create an account with an email address and secure password. You are responsible for maintaining the confidentiality of your password and account information. You agree to provide accurate, complete, and current information during registration and updates. You are solely responsible for all activities conducted through your account. You must notify us immediately of any unauthorized access or use. Credia reserves the right to disable accounts that violate these terms or pose security risks.
4. Free Tier vs Pro Subscription
Credia offers three service options: (1) Free Tier: Limited analysis per month (as described on our pricing page), access to basic extraction and benchmarking features, data retention for 12 months, no priority support. (2) Pro Tier: €49 per month or €468 per year (€39/month), unlimited analyses, advanced features, priority email support, data retention for 24 months, priority processing. (3) Per-Deal Pass: €99 one-time payment, unlimited analyses on a single deal for 90 days. You may upgrade, downgrade, or cancel your subscription at any time. Changes take effect on your next billing cycle.
5. Payment Terms
Pro Tier subscriptions are billed monthly in advance via Stripe. We accept all major credit cards. Billing cycles begin on the date you select your subscription and renew monthly on that date. You authorize us to charge your payment method automatically. If payment fails, we will attempt to collect again. If collection fails after 3 attempts, your account will be suspended. Cancellation takes effect at the end of the current billing cycle; refunds are not provided for partial months.
6. Acceptable Use
You agree not to use Credia for: (1) Uploading fraudulent, falsified, or fictitious loan documents, (2) Reverse engineering, decompiling, or attempting to derive the source code or AI models, (3) Automated scraping of our platform or data, (4) Accessing the service on behalf of others without authorization, (5) Using Credia for illegal activities or in violation of any laws, (6) Transmitting malware, viruses, or malicious code, (7) Harassing, threatening, or defaming other users, or (8) Interfering with the platform's functionality or security. Violations may result in immediate account suspension and termination without refund.
7. Intellectual Property
Credia owns all intellectual property rights to the platform, including the user interface, features, algorithms, AI models, and documentation. You may not copy, modify, or distribute any part of Credia without permission. You retain ownership of the data you upload and your extracted datasets. You grant Credia a non-exclusive, perpetual, irrevocable license to use anonymized, aggregated data derived from your uploads for the purpose of providing the service, improving algorithms, benchmarking, market intelligence products, and statistical analysis. No individual user or transaction will be identifiable in any derived data product. You may request deletion of your raw uploaded documents at any time, but anonymized, aggregated data that has already been incorporated into benchmark datasets will be retained as it contains no personal data (GDPR Recital 26). Credia does not claim ownership of your documents or extracted data.
8. User Data and Privacy
Your use of Credia is governed by our Privacy Policy, which details how we collect, use, store, and protect your personal data. By using Credia, you consent to the data practices described in the Privacy Policy. All data is processed in accordance with GDPR and applicable data protection laws. When you upload a document, Credia derives the deal country from a combination of signals: IP geolocation (Cloudflare/Vercel header), governing law or jurisdiction clause extracted from the document, and bank identification. This derived deal country is used solely for benchmark gating — to compare your deal against transactions from the same jurisdiction. 9. AI-Generated Content Disclaimer
Credia's AI analysis, scoring, and recommendations are informational and advisory in nature. They do not constitute financial, legal, tax, or investment advice. You are responsible for interpreting results in context and consulting with qualified advisors (financial, legal, or tax professionals) before making loan decisions. Credia makes no warranties about the accuracy, completeness, or appropriateness of AI-generated content. Loan terms involve complex legal and financial considerations that require professional review. If your lender uses Credia scores in an automated lending decision without human review, you may have rights under GDPR Art. 22, including the right to human review and explanation. Contact your lender or the GBA (Gegevensbeschermingsautoriteit) if you believe your rights have been violated. Always consult with your bank, legal counsel, and financial advisor.
10. Limitation of Liability
To the maximum extent permitted by applicable law, Credia's total liability arising from or related to these Terms is limited to the fees you paid in the 12 months preceding the claim, or €500, whichever is greater. This limitation does not apply to: (i) death or personal injury, (ii) fraudulent conduct, (iii) gross negligence, (iv) data breaches caused by Credia's violation of GDPR or applicable data protection law (Art. 82), (v) breaches of confidentiality obligations, or (vi) claims that cannot be limited under applicable Belgian law. Credia does not exclude or limit liability for unauthorized access, data breaches, or other violations of GDPR Art. 82. All rights under GDPR and Belgian data protection law are reserved and cannot be waived. Except for the foregoing exceptions, neither party shall be liable for indirect, incidental, special, or consequential damages (including lost profits), even if advised of the possibility of such damages.
11. Service Availability and Modifications
Credia is provided 'as is' without guarantees of uptime or availability. We aim for 99% monthly uptime but make no service level agreement. We may modify, suspend, or discontinue any feature or the entire service at any time with 30 days' notice. We may perform maintenance, updates, or improvements that temporarily interrupt service. We are not liable for service unavailability caused by factors beyond our control (third-party outages, DDoS attacks, natural disasters, etc.).
12. Termination
You may terminate your account at any time by requesting deletion through the platform or contacting legal@credia.pro. Credia may terminate your account immediately if you violate these terms or pose a security risk. Upon termination: (1) Your account access is revoked, (2) Your data is deleted according to our retention schedule, (3) Unpaid fees remain due, and (4) Provisions on intellectual property, limitation of liability, and governing law survive. Free tier accounts with no activity for 18+ months may be deleted without further notice.
13. Governing Law and Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of Belgium, without regard to conflict of law principles. Before pursuing formal legal action, you agree to attempt informal resolution by contacting legal@credia.pro with 'DISPUTE' in the subject line, including a clear description of the dispute and proposed resolution. Credia will respond within 5 business days. Both parties will have 14 days to reach resolution. If informal resolution fails, either party may escalate to legal@credia.pro. If escalation fails, all disputes shall be resolved in the competent courts of Brussels, Belgium. You agree to submit to the exclusive jurisdiction of these courts. Nothing in this section waives your rights under Belgian consumer law, GDPR, or other mandatory local laws.
